As a video hosting provider, Kavimo processes sensitive business content on behalf of its subscribers. This Non-Disclosure Agreement ("NDA") sets out Kavimo's confidentiality commitments regarding all subscriber data, including uploaded videos, analytics, personal information, and business-related data. This agreement is incorporated into and governed by the Kavimo Terms of Service. It applies to subscribers who are current with their payment obligations.
Definition of Confidential Information
"Confidential Information" means all non-public information disclosed by a subscriber to Kavimo in connection with the Services, including but not limited to: video content, business data, user data, technical configurations, financial information, and trade secrets. Information is not confidential if it: (a) is or becomes publicly available through no fault of Kavimo; (b) was already known to Kavimo before disclosure; (c) is disclosed to Kavimo by a third party without restriction; or (d) is independently developed by Kavimo without reference to the subscriber's information.
Kavimo's Commitments
Kavimo commits to the following:
- Not to disclose any subscriber Confidential Information to any third party without the subscriber's prior written consent, regardless of form or channel.
- Not to use subscriber Confidential Information for any purpose other than providing the Services.
- Not to copy, reproduce, or enable unauthorized third-party access to subscriber Content, and to implement reasonable technical and organizational security measures to prevent such access.
- Not to use a subscriber's name, brand, or identity for marketing or promotional purposes without prior written consent.
- To access subscriber Content only when explicitly requested in writing by the subscriber, or when necessary to provide technical support.
- Not to include individually identifiable subscriber data in any published statistics, case studies, or reports. Aggregate, fully anonymized data may be used for service improvement.
- To restrict access to subscriber Content and data strictly to authorized technical staff. Other Kavimo personnel will have no access to this information.
- To notify the affected subscriber within 72 hours of discovering any security incident that involves or may involve subscriber data.
Compelled Disclosure
Kavimo may disclose Confidential Information if required by a valid court order or legal process from a competent authority. Where legally permitted, Kavimo will: (a) notify the subscriber promptly upon receiving such a request; and (b) cooperate with the subscriber in seeking to limit the scope of disclosure or obtain a protective order.
Duration
Kavimo's confidentiality obligations under this agreement begin on the date of the subscriber's registration and survive indefinitely after termination of the service relationship. The invalidity of any single provision does not affect the enforceability of the remaining provisions.
Remedies
The subscriber acknowledges that any breach of this NDA may cause irreparable harm for which monetary damages may be inadequate. Accordingly, the subscriber shall be entitled to seek injunctive or other equitable relief in addition to any other remedies available at law.
